Terms of Service

These Terms of Service ("Terms") govern your use of Verifi's AI-powered accounting automation platform (the "Service") provided by Verifi Finance ApS, CVR 45960617, Bregnevej 43, 4000 Roskilde, Denmark ("Verifi", "we", "us"). By using the Service, you ("Customer", "you") agree to these Terms.

1. Service and License

Verifi grants you a non-exclusive, non-transferable license to access and use the Service for your internal accounting operations. The Service provides AI-powered automation for accounting workflows, including transaction processing, data extraction, and integration with accounting systems.

2. Your Responsibilities

You agree to:

  1. Use the Service only for lawful purposes and in compliance with all applicable laws
  2. Maintain the security of your account credentials and promptly notify us of unauthorized access
  3. Review and verify all AI-processed transactions before finalizing accounting records
  4. Ensure you have all necessary rights to the data you provide to the Service
  5. Not reverse engineer, decompile, or attempt to extract the source code of the Service
  6. Not use the Service to compete with Verifi or develop competing products

3. Data and Privacy

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a license to use Customer Data solely to provide and improve the Service. We process personal data in accordance with applicable data protection laws, including GDPR. Our Data Processing Agreement governs our processing of personal data on your behalf.

We implement appropriate security measures to protect Customer Data. Customer Data is stored within the European Economic Area.

4. Fees and Payment

You agree to pay the fees specified in your order or subscription plan. All fees are exclusive of applicable taxes, which you are responsible for paying. We may modify fees upon 30 days' notice. Continued use after fee changes constitutes acceptance.

5. Intellectual Property

We retain all rights to the Service, including all software, algorithms, and technology. These Terms do not grant you any ownership rights. We may use aggregated, anonymized data from your use of the Service to improve our products.

6. Term and Termination

These Terms begin when you start using the Service and continue for your subscription period. Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, your access ends and we will make Customer Data available for download for 30 days.

7. Warranties and Disclaimers

We warrant that the Service will perform substantially as described.

THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY OF AI-GENERATED OUTPUTS. THE SERVICE USES AI TECHNOLOGY WHICH MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR REVIEWING ALL OUTPUTS.

8. Limitation of Liability

NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

We will defend you against claims that the Service infringes third-party intellectual property rights. You will defend us against claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable laws.

10. General Terms

Governing Law

These Terms are governed by Danish law. Disputes shall be resolved in the courts of Copenhagen, Denmark.

Changes to Terms

We may modify these Terms upon 30 days' notice. Continued use constitutes acceptance of changes.

Entire Agreement

These Terms, together with your order form and our Data Processing Agreement, constitute the entire agreement between us.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.
